End User License Agreement (EULA)

1. AGREEMENT

This End User License Agreement ("Agreement") is a binding legal contract between you ("User") and Adept Surgical Limited ("Company", "we", "us"). By installing, accessing, or using Dermafocal ("App"), you agree to be bound by this Agreement. If you do not agree, do not install or use the App.

2. ELIGIBILITY AND PROFESSIONAL USE

The App is intended only for healthcare professionals aged 18 or over, acting within the scope of professional practice in the United Kingdom.

The App is not intended for consumer self-diagnosis, emergency use, or unsupervised non-professional use.

3. LICENSE GRANT

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App for professional medical reference and clinical decision support purposes on Apple-branded devices you own or control.

You may not: (a) reverse engineer, decompile, or disassemble the App; (b) rent, lease, lend, sell, or sub-license the App; (c) copy the App except as permitted by Apple terms.

4. SUBSCRIPTIONS AND PAYMENTS

Continued full App access beyond any trial period requires a paid subscription. Payment, renewal, billing, and cancellation are managed through your Apple account in accordance with Apple App Store subscription terms.

6. DATA PROTECTION ROLES

For patient-identifiable information entered into Derma Capture, you and/or your employing organisation act as the Data Controller.

As Data Controller, you are responsible for lawful basis, Article 9 condition, transparency, retention, rights handling, complaints handling, and incident reporting obligations under applicable law and local policy.

In standard operation, Adept Surgical Ltd does not routinely receive, host, view, or access patient-identifiable photos or clinical records entered in Derma Capture.

7. DERMA CAPTURE ELIGIBILITY

Derma Capture is intended only for patients who can personally provide informed consent in this release model.

Derma Capture is not intended for: (a) patients under 18 years, (b) adults lacking capacity to consent, or (c) cases requiring proxy or parental consent.

8. EXPORT AND LOCAL GOVERNANCE

If you export records or images outside the App (including to the device photo library), you are responsible for compliance with your organisation’s information governance requirements and applicable data protection law.

Depending on device settings, exported files may sync to cloud services. You are responsible for ensuring this is permitted by your local policy.

9. SECURITY INCIDENT REPORTING

If you suspect unauthorised access, loss, or disclosure, follow your local incident process immediately and notify support@dermafocal.com without undue delay where product behaviour may have contributed.

10. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

11. LIMITATION OF LIABILITY

Nothing in this Agreement excludes or limits liability where exclusion is unlawful, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to that, and to the maximum extent permitted by applicable law, the Company is not liable for indirect or consequential losses (including loss of profits, business interruption, or loss of data) arising from use of, misuse of, or inability to use the App.

For losses that may lawfully be limited, the Company’s aggregate liability to you shall not exceed fifty pounds sterling (£50.00).

12. TERMINATION

This license remains effective until terminated. Your rights under this Agreement terminate automatically if you fail to comply with its terms. On termination, you must stop using the App.

13. GOVERNING LAW

This Agreement is governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. The latest version and effective date will be published on this page and in the App legal section.
